Terms of Service

Last updated 2026

1. Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of the applications, websites, and services (collectively, the "Service") provided by Quida Technologies Limited ("Quida," "we," "us," or "our"). By creating an account, installing our app, or otherwise using the Service, you agree to be bound by these Terms and by our Privacy Policy.

2. Description of Service

Quida provides personal and family safety tools, including emergency alerts, trusted-contact notifications, location sharing, community safety information, and an optional companion device. Quida is a supplementary safety tool and is not a replacement for official emergency services.

In a genuine emergency, always contact your local emergency services (police, fire, or ambulance) first. Quida does not guarantee that alerts will be delivered or acted upon within any particular time, or at all, and is not a substitute for calling 112 or your local emergency number.

3. Eligibility and Accounts

You must be at least 18 years old to create an account. If you are under 18, you may only use the Service under the supervision of a parent or guardian who agrees to these Terms on your behalf.

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately of any unauthorized use.

4. Emergency Contacts

When you add a trusted emergency contact, you confirm that you have their permission to share their name and phone number with us for the purpose of receiving alerts on your behalf. You are responsible for keeping this information accurate and up to date.

5. Acceptable Use

You agree not to:

  • Submit false emergency reports or misuse alert features.
  • Attempt to gain unauthorized access to the Service, other accounts, or our systems.
  • Reverse-engineer, decompile, or interfere with the proper operation of the Service.
  • Use the Service for any unlawful purpose or in violation of any applicable law.

6. Subscriptions and Payments

Some features, including the companion device, may require a paid subscription or one-time purchase. Prices, billing cycles, and refund terms will be presented to you before purchase. Fees are non-refundable except where required by law.

7. Companion Device

If you purchase a Quida Companion Device, it is provided subject to any additional device-specific terms and warranty information supplied at the time of purchase. The device depends on network connectivity, battery charge, and third-party infrastructure, and Quida cannot guarantee uninterrupted operation.

8. Intellectual Property

The Service, including its software, design, trademarks, and content, is owned by Quida or its licensors and is protected by applicable intellectual property laws. We grant you a limited, non-exclusive, non-transferable licence to use the Service for its intended personal purpose.

9. Third-Party Services

The Service may rely on or link to third-party services, such as telecom aggregators, mapping providers, or payment processors. We are not responsible for the availability or accuracy of third-party services.

10. Disclaimers and Limitation of Liability

The Service is provided "as is" and "as available." To the fullest extent permitted by law, Quida disclaims all warranties, express or implied, and shall not be liable for any indirect, incidental, or consequential damages, or for any failure or delay in the delivery of an alert, arising from your use of the Service.

Nothing in these Terms limits liability that cannot be excluded under applicable Nigerian law.

11. Indemnification

You agree to indemnify and hold Quida harmless from any claims, losses, or damages arising from your misuse of the Service or your violation of these Terms.

12. Termination

You may stop using the Service and delete your account at any time. We may suspend or terminate your access if you violate these Terms or misuse the Service, including submitting false emergency reports.

13. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Federal Republic of Nigeria. Any dispute arising from these Terms shall first be addressed through good-faith negotiation, and failing that, resolved in the courts of Nigeria with competent jurisdiction.

14. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated via the app, email, or website notice, and your continued use of the Service after such changes constitutes acceptance of the updated Terms.
